Welcome to Negosense AS ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our services. By subscribing to or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services Provided

We offer a suite of services, including:

• CRM functionality
• AI and automations
• Email marketing
• Social media management
• SEO services
• Paid media campaigns

These services are designed to help businesses streamline operations, boost engagement, and grow revenue. Each service is detailed further on our website or in your service contract.

2. Free Trial and Subscription

We provide a free setup and a free trial for new customers. Following the trial, services are billed on a monthly subscription basis, with pricing outlined in your service agreement.

No Performance Guarantee: While we strive to deliver the highest quality services, we do not guarantee specific outcomes, such as increased revenue, traffic, or conversions.

3. Payment Terms

• Payments are due monthly as per your service contract.
• Failure to make timely payments may result in suspension or termination of your account.
• All payments are non-refundable, except as required by law or explicitly stated in your service agreement.

4. Customer Responsibilities

You are responsible for:

• Providing accurate and up-to-date business information.
• Complying with all applicable laws and regulations while using our services.
• Maintaining the confidentiality of your account credentials.

Prohibited Use: If you misuse our services (e.g., violating laws, spamming, or exploiting system vulnerabilities), we reserve the right to terminate your service immediately.

5. Limitation of Liability

Our services are provided "as-is," and we exclude all warranties to the fullest extent permitted by law. We are not liable for:

• Any damages arising from your use of third-party tools integrated into our system.
• Data loss caused by your actions or failure to follow instructions.

Our total liability for any claim is limited to the amount paid by you for services in the 12 months preceding the claim.

6. Termination

• Customer Cancellation: You may cancel your subscription at any time by notifying us via email. Cancellations take effect at the end of your current billing period.
• Termination by Negosense: We reserve the right to terminate services for non-payment, misuse, or violation of these Terms.

Upon termination, your data will be retained for 90 days to allow for retrieval. After this period, all data will be permanently deleted.

7. Privacy and Data

By using our services, you agree to our Privacy Policy, which must be reviewed and accepted separately. We will delete your data 90 days after service termination unless otherwise required by law.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of Norway. Disputes will be resolved through:

• Arbitration or mediation, where mutually agreed.
• If unresolved, disputes will be subject to the jurisdiction of Norwegian courts.

9. Intellectual Property

All intellectual property, including software, branding, and content, remains the sole property of Negosense AS. Customers may not modify, distribute, or reproduce any of our materials without prior written consent.

10. Updates to These Terms

We reserve the right to update these Terms at any time. Customers will be notified of significant changes via email. Continued use of our services after changes are made constitutes acceptance of the updated Terms.
